Job Overview
We are seeking a dedicated Corporate Governance and Ethics Officer to join our Risk Advisory team in Bwiam. This role is central to advising clients and internal stakeholders on governance frameworks, ethical standards, regulatory compliance, and risk management practices. The successful candidate will be responsible for developing, implementing, and monitoring corporate governance policies and ethics programs that align with international best practices and local regulations. Key Responsibilities
- Develop, review, and implement corporate governance frameworks, charters, and policies for clients and internal use.
- Design and deliver ethics and compliance training programs for client organizations and EY staff.
- Conduct governance audits and risk assessments to identify gaps and recommend improvements.
- Advise boards of directors and senior management on governance best practices, ethical dilemmas, and regulatory requirements.
- Monitor and report on compliance with governance codes, anti-corruption laws, and ethical standards.
- Investigate allegations of misconduct, fraud, or ethical breaches and recommend corrective actions.
- Stay abreast of evolving local and international governance regulations and trends.
- Prepare detailed reports and presentations for stakeholders on governance and ethics matters.
- Facilitate board evaluations and assist in enhancing board effectiveness and diversity.
- Collaborate with cross-functional teams on integrated risk management and assurance projects.
Required Skills
- Expert knowledge of corporate governance principles, codes (e.g., King IV), and relevant Gambian legislation.
- Strong analytical and problem-solving skills with the ability to interpret complex regulations.
- Excellent communication, presentation, and interpersonal skills for stakeholder engagement.
- High ethical standards and integrity with proven discretion in handling sensitive information.
- Project management skills with the ability to manage multiple client engagements simultaneously.
- Proficiency in MS Office Suite and governance/risk management software.
- Ability to work independently and as part of a multidisciplinary team.
- Strong report writing and documentation skills.
Education
A Bachelor’s degree in Law, Business Administration, Corporate Governance, or a related field is required. A Master’s degree in Law, Business Ethics, or Corporate Governance is highly advantageous. Professional certifications such as Certified Compliance & Ethics Professional (CCEP), International Compliance Association (ICA) qualifications, or similar are strongly preferred. Continuous professional development in governance and ethics is expected.
Experience
A minimum of 5-8 years of progressive experience in corporate governance, ethics, compliance, or risk management, preferably within a professional services firm, multinational corporation, or regulatory body. Demonstrated experience in developing governance frameworks, conducting ethics training, and managing compliance programs is essential. Experience working within the Gambian regulatory environment or similar jurisdictions in West Africa is a significant asset.
